By accessing or using StickyPrompts ("Service"), provided by Artificial Platforms Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and Artificial Platforms Inc. regarding your use of StickyPrompts and all related services, features, and functionality.
2. Service description
StickyPrompts is a unified AI platform that provides access to more than 50 AI models, including GPT-4, Claude, Gemini, and other leading artificial intelligence models, through a single interface. The Service includes:
- Multi-model AI access and comparison tools
- Reusable prompt templates with variables and guards
- Bulk file processing capabilities for CSV and Excel files
- Chrome extension for in-browser AI workflows
- Team collaboration and template sharing features
- API access and integrations
- Multimodal AI processing (text, images, audio, documents)
We reserve the right to modify, update, or discontinue any aspect of the Service at any time with reasonable notice to users.
3. Eligibility and account requirements
You must be at least 18 years old or have reached the age of majority in your jurisdiction to use the Service. By using StickyPrompts, you represent and warrant that:
- You meet the age requirements stated above.
- You have the legal authority to enter into this agreement.
- You will provide accurate, current, and complete information during registration.
- You will maintain the accuracy of your account information.
- You are responsible for maintaining the confidentiality of your account credentials.
4. Permitted and prohibited uses
4.1 Permitted use
You may use StickyPrompts for lawful business and personal purposes in accordance with these Terms. This includes creating content, automating workflows, data analysis, and other legitimate AI-assisted tasks.
4.2 Prohibited use
You may not use the Service to:
- Violate any applicable laws, regulations, or third-party rights.
- Create, distribute, or promote harmful, illegal, or offensive content.
- Generate spam, phishing content, or misleading information.
- Attempt to reverse engineer, hack, or compromise the Service.
- Create content that infringes on intellectual property rights.
- Generate content intended to harass, threaten, or harm individuals.
- Circumvent usage limits, rate limiting, or security measures.
- Use the Service for competitive intelligence or to build competing products.
- Share account credentials or resell access to the Service.
5. AI content and model usage
5.1 AI-generated content
You acknowledge that content generated through StickyPrompts is produced by artificial intelligence models and may contain inaccuracies, biases, or other limitations. You are responsible for:
- Reviewing and validating all AI-generated content before use.
- Ensuring compliance with applicable laws and regulations.
- Respecting intellectual property and privacy rights.
- Using appropriate disclaimers when publishing AI-generated content.
5.2 Model limitations
AI models have inherent limitations, including knowledge cutoff dates, potential biases, and factual inaccuracies. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content.
6. Data handling and privacy
Your privacy is important to us. Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.
6.1 Your content
You retain ownership of all data, prompts, templates, and content you provide to StickyPrompts. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service to you.
6.2 Data security
We implement industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.
7. Intellectual property rights
7.1 Service ownership
StickyPrompts, including its software, algorithms, user interface, trademarks, logos, and documentation, is owned by Artificial Platforms Inc. and protected by intellectual property laws.
7.2 License grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use StickyPrompts for your internal business purposes during your subscription term.
7.3 User content rights
You retain ownership of your original content, prompts, and templates. AI-generated content may be subject to the terms of service of the underlying AI models and applicable copyright laws.
8. Payment terms and subscriptions
8.1 Subscription fees
Access to StickyPrompts requires a valid subscription. Subscription fees are charged in advance and are non-refundable except as required by applicable law or as specified in our refund policy.
8.2 Billing and payment
- Payments are processed securely through third-party payment processors.
- You authorize us to charge your payment method for recurring subscription fees.
- You are responsible for keeping your payment information current.
- Late or failed payments may result in service suspension or termination.
8.3 Usage limits and overages
Your subscription includes specific usage limits (API calls, processing credits, etc.). Additional usage may incur overage charges as outlined in your subscription plan.
9. Service availability and support
We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.
We provide technical support as outlined in your subscription plan. Enterprise customers receive priority support with defined service level agreements.
10. Termination
10.1 Termination by you
You may terminate your account at any time through your account settings or by contacting our support team. Termination does not entitle you to a refund of prepaid fees.
10.2 Termination by us
We may terminate or suspend your account immediately if you violate these Terms, engage in prohibited activities, or for other legitimate business reasons. We will provide reasonable notice when possible.
10.3 Effect of termination
Upon termination, your access to the Service will cease, and you may lose access to your data. We may retain your data for a limited period as required by law or legitimate business purposes.
11. Disclaimers and warranties
The service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties, including:
- Merchantability and fitness for a particular purpose.
- Accuracy, completeness, or reliability of AI-generated content.
- Uninterrupted or error-free operation.
- Security or freedom from viruses or other harmful components.
We do not warrant that the Service will meet your requirements or that any AI-generated content will be accurate, complete, or suitable for your purposes.
12. Limitation of liability
To the maximum extent permitted by law, Artificial Platforms Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:
- Lost profits, revenue, or data.
- Business interruption or loss of goodwill.
- Cost of substitute goods or services.
- Personal or property damage.
Our total liability for all claims arising from or relating to the Service shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Artificial Platforms Inc., its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service in violation of these Terms.
- Your content or any AI-generated content based on your input.
- Your violation of any applicable laws or third-party rights.
- Any negligent or wrongful conduct on your part.
14. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
15. Modification of terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Service.
16. General provisions
16.1 Entire agreement
These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Artificial Platforms Inc.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
16.3 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
